End User License Agreement

This End User License Agreement (“EULA”) is a legal agreement between you and Venezia LLC governing your use of the audio plugin software (“Software”) distributed through VST Store. This EULA applies to all VST3 and AU plugin binaries downloaded from the Service.

1. Acceptance

By installing, copying, or otherwise using the Software, you agree to be bound by the terms of this EULA. If you do not agree, do not install or use the Software.

2. Definitions

  • Software — the audio plugin binaries (VST3, AU formats) provided through Austral Audio.
  • License — the right to use the Software granted under this EULA, tied to an active subscription or trial.
  • Machine — a physical or virtual computer on which the Software is installed.
  • Machine Fingerprint — a one-way cryptographic hash derived from hardware identifiers, used to uniquely identify a machine.
  • Heartbeat — a periodic license validation check performed by the Software.

3. License Grant

Subject to the terms of this EULA and your active subscription, Venezia LLC grants you a non-exclusive, non-transferable, revocable license to:

  • Install and use the Software on up to 3 machines simultaneously.
  • Use the Software for personal or commercial music production purposes.

This license is tied to your active subscription and is automatically revoked when your subscription expires (subject to the grace period described below).

4. Subscription Requirement

The Software requires an active Austral Audio subscription to function. The Software communicates with Austral Audio servers to validate your license status via a heartbeat mechanism (approximately every 24 hours).

If your subscription expires or is cancelled, a 30-day grace period applies during which the Software continues to function normally. After the grace period, audio output will be restricted until the subscription is renewed.

5. Free Trial

The Software may include a free trial mode allowing up to 30 minutes of use per machine. The trial is limited to one per device, enforced by machine fingerprint. After the trial period expires, audio output will be restricted.

6. Data Collection by Software

The Software transmits the following information to Austral Audio servers for license enforcement:

  • Machine fingerprint (one-way cryptographic hash of hardware identifiers).
  • Machine name (hostname).
  • Operating system type and version.
  • DAW (digital audio workstation) name and version.

This data is used solely for license validation, activation management, and trial enforcement. The machine fingerprint is a one-way hash and cannot be used to identify specific hardware components. For full details, see our Privacy Policy.

7. Restrictions

You may not:

  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software, except as expressly permitted by applicable law.
  • Circumvent, disable, or tamper with any digital rights management, licensing, or copy protection mechanisms in the Software.
  • Distribute, share, sublicense, rent, lease, or lend the Software to third parties.
  • Tamper with or spoof machine fingerprints or other device identifiers.
  • Use the Software on more than 3 machines simultaneously per subscription.

8. Updates

The Software may automatically check for updates. Updates are provided at our discretion and may require minimum operating system versions. We are not obligated to provide updates or to maintain backward compatibility with older systems.

9. Intellectual Property

The Software is owned by Venezia LLC and is protected by copyright and other intellectual property laws. This EULA grants you a license to use the Software — it does not transfer ownership.

Any audio content you create using the Software belongs to you. You retain full ownership and rights to your musical works.

10. Termination

This license terminates automatically when:

  • Your subscription expires and the 30-day grace period has elapsed.
  • You violate any terms of this EULA.

We may also terminate this license immediately if you violate the restrictions in Section 7. Upon termination, you must uninstall and delete all copies of the Software.

11. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SOFTWARE WILL BE COMPATIBLE WITH ALL HARDWARE CONFIGURATIONS, OPERATING SYSTEMS, OR DIGITAL AUDIO WORKSTATIONS, OR THAT IT WILL OPERATE WITHOUT INTERRUPTION OR ERROR.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VENEZIA LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SOFTWARE, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOST PROFITS, OR DAMAGE TO EQUIPMENT.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID FOR YOUR SUBSCRIPTION IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

13. Governing Law

This EULA shall be governed by and construed in accordance with the laws of the State of Wyoming, USA, without regard to its conflict of law provisions.
